Agent Management

1、Strictly comply with national laws and ordinances, and pay taxes in accordance with the law.


2、Respect social morality and follow the principles of voluntariness, fairness, honesty and credit in conducting business activities.


3、Guarantee to comply with all operating rules, regulations and their amendments issued by the company about the special agents.


4、Not to slander or defame in any way the company and its agents and employees, not to threaten, intimidate or infringe upon the safety of the person and property of other agents and employees; not to disrupt in any way the public order of the company, the Salon Service Center, or any other venue for activities related to the company; not to disrupt in any way the activities and operations of the company and its members.


5、Compliance with purchasing and selling regulations:


5.1 You may not order under the name of another member, nor may you transfer or lend your membership code to another person for use.


5.2 Clearly price, fair trade, uniformly according to the product price to carry out sales, shall not be charged any additional fees, and shall not have price cuts or disguised price cuts and other unfair competition behavior. It is strictly prohibited to resell the products to other people by raising or cutting the price through any form, including but not limited to: combination of different businesses or network sales.


5.3 Without the approval and consent of the Shanghee Company, Shanghee products shall not be displayed or promoted or sold in public places.


5.4 Preferential customers and special agents should cooperate with the regional agents authorized by the company to set up in the salon service center for reporting operations, strict self-regulation, objectively and correctly will belong to the customer's documents in accordance with the provisions of the punctual reporting, there shall be no pressure, omission or malicious misreporting of the bill and other acts affecting the rights and interests of consumers and members.


5.5 Preferential customers and special agents should carefully check the relevant data when reporting the order, to ensure that the documents are clear and accurate as well as the complete set of relevant valid documents (new members need to provide photocopies of their ID cards). At the same time should ensure that the last working day of each month, to the salon service center. Once submitted, no changes, revocations or additions are allowed. In case of special circumstances, preferential customers and special agents should report the modification application to the Salon Service Center and the company within three days, otherwise the company has the right not to deal with it.


6、Provisions for product promotion and service to customers:


6.1 Efforts to learn product knowledge, understanding of product supply and marketing; strictly in accordance with the product information provided by the company to introduce and promote the product, product demonstration, shall not be the use of the product, performance, etc. to do exaggerated, inaccurate or misleading false propaganda, or else the legal responsibility arising from their own.


6.2 Sales of Shanghee products must be in accordance with the price indicated to customers to sell products. After the transaction, introduce to the customer in detail the return and exchange system of the company, and provide invoices and sales vouchers. With attentive and courteous service attitude, quickly deal with customer complaints about the product, and in accordance with the procedures announced by the company to deal with the return and exchange of products.


6.3 The authorized agent is obliged to send the products to the customers in time, and the health salon store belonging to the authorized agent will provide the customers with free ordinary mail service, such as the customers need to expedite and speed up the service, the franchised store can charge the relevant difference in price at its discretion. At the same time, the franchise is also obliged to provide customers with proof of purchase and related product invoices.


6.4 Complete the work assigned by the company to serve customers and assume appropriate job responsibilities. Shall not carry out business activities in an improper way, the relevant improper behaviors include but are not limited to: do not respect the customer's choice, force to buy and sell, without the customer's consent, shall not enter the customer's residence to force the sale of products; when the customer asks to stop the sales activities, should immediately stop and leave his residence; mislead the customer to buy the products he does not need; touting along the street or door-to-door selling; harassment of other people's lives; in the salon Service centers and other public places for unfamiliar introduction and sales; misinterpretation of Sheung Hyuk and other improper ways to promote business; regular work time, authority to engage in Sheung Hyuk; in any media (including the Internet) advertisements about Sheung Hyuk's products or business; distribution of advertisement leaflets or promotional materials related to Sheung Hyuk's products or business; self-reward customers, maliciously snatch other people's customer base; conduct of business Other inappropriate behavior in the work.


6.5 It is strictly forbidden to deal with pyramid schemes, politics, religious beliefs, superstitions, immorality or other non-commercial topics in the course of conducting business.


6.6 There shall be no falsification, blind hoarding, artificial manipulation of performance and disruption of the market order.


6.7 You shall not use the resources of Shanghé to sell or promote products or services not provided by Shanghé; nor shall you engage in the promotion of other products or services that have a conflict of interest with Shanghé or are contrary to the laws and regulations on commercial ethics.


6.8 Any other countries Shanghee market products, members may only self-use, without the company's approval may not be used for demonstration, sales or other purposes.


6.9 Do not disparage or attack other professions, industries, companies, brands, merchandise or denigrate other Distributors in the conduct of your business.


6.10 Comply with the company's rules and regulations and conduct business within the regulated territories to engage in sales activities.


6.11 Do not spread any business, policy, operation and other information that is not approved by the company, or misrepresent the various types of information published by Sunhope.


6.12 Products must not be sold at low prices, contrary to the principles of fair trade and competition, thereby adversely affecting the market.


6.13 Preferential customers and special agents should strictly abide by the terms of the "Business Code of Shanghee Special Agents", and has the responsibility to consciously comply with and regulate the behavior of all members of the sales team, at the same time, should be strictly enforced, all special agents shall not maliciously account for the sales of other special agents in the sales team of the sales performance, shall not maliciously restrict the development of other special agents and other norms.


6.14 Preferential customers and special agents should do business promotion in accordance with the company's unified market strategy, there shall be no pressure of goods, false reporting and malicious speculation.


7、Comply with the business collateral material policy:


7.1 Can only use the text, audio and video materials designated by the company to carry out business activities; the use of non-sanghe members approved by the company's text, audio and video materials to carry out business activities and all the legal responsibilities arising from the company has nothing to do with the company, by the members of their own; so that the company suffered a loss, the company will be the legal recourse to its.


7.2 Shanghé members shall not sell, promote or distribute in any place related to the business or activities of Shanghé any ancillary marketing materials that are not formulated by Shanghé; nor shall they make use of the business relationship of Shanghé to promote or sell any textual, audio, video or other ancillary marketing materials that are not designated or approved by Shanghé; nor shall they carry out the above activities by hiring or assisting other persons.


7.3 Without the permission and authorization of the company, shall not directly or indirectly through other units to produce, publish, distribute any printed materials and audio-visual materials related to Sangher.


7.4 Shanghee members should be in accordance with the correct way to promote the market and publicize the company's information, shall not maliciously withhold the company's journals, publicity color pages and other promotional tools or under the name of the company to do misrepresentation. If the adverse impact caused by misrepresentation, the company has the right to rely on legal means to resolve to safeguard the interests of the majority of agents.


8、Without the approval of the company, Shanghee members are not allowed to give unauthorized interviews to the news media on topics related to Shanghee products or business.


9、Shanghee members shall not accept the invitation of enterprises with conflict of interest with Shanghee to give speeches, experience sharing, in accepting the invitation of other legitimate companies, groups, organizations or individuals to carry out the above activities, such as the content of the content involves Shanghee or the use of Shanghee resources must be prior to obtaining the consent of the company; shall not be borrowed by the Shanghee's sales channels to promote the sale of related tickets and materials; the above actions shall not be negatively impacted on the image of the company, the Shanghee special agents and the products of the Shanghee.


10、Shanghee members must use the company's uniform format business cards. If they print their own, they must comply with the content and style specified by the company.


11、Shanghee members are not allowed to hold any form of training meetings/activities on their own without the company's consent, and they are not allowed to borrow the name of other companies, organizations or groups to hold training/meetings/activities related to Shanghee's business/products.


12、Shanghé members shall not call themselves representatives of the staff of Shanghé or representatives of Shanghé. They shall not incur any debts, expenses, commitments, liabilities, transactions or sign any contracts in the name of or on behalf of the company.

Shanghee is an international organization dedicated to providing high quality products and good service. In establishing the Shanghé business, each agent must strictly adhere to industry guidelines to establish and maintain a good marketing order.


[Compliance with the law, down-to-earth business]

Strictly abide by the laws and decrees of the country and pay taxes in accordance with the law; follow the principles of voluntariness, fairness and honesty; and respect social morality.

Guarantee to comply with all disciplines and regulations issued by the Company regarding Preferred Customers, Contributing Agents and Regional Agents.

To the company to fill in the information is true and valid; shall not conceal my true identity; shall not borrow, fraudulent use of other people's names or the use of other improper methods to become a preferential customers or agents, otherwise, all the consequences of their own responsibility, and have nothing to do with the company of the Shanghe.

The ID card of the discount customer, special agent or regional agent can only be used by himself/herself and cannot be lent to others. 


[Integrity, stability and pragmatism]

You must study and understand the company's situation carefully, introduce the company in a realistic manner, and not exaggerate the company's strength.

To describe the products and business plan of Sangher in a fair, open and honest manner.

Make efforts to learn product knowledge and understand product efficacy; promote, introduce products and demonstrate product usage in full accordance with the product information provided by the company, and do not make exaggerated, inaccurate or misleading false propaganda on the usage and performance of the products.

With an attentive and courteous service attitude, we deal with customers' complaints about product dissatisfaction promptly, and handle product returns in accordance with the procedures officially promulgated by SangHyuk. 


[Dedication and cooperation] 

Do not use the Sunhope business relationship to promote or sell products or services that are not provided by Sunhope.

Politics, religious beliefs or other non-commercial topics may not be addressed in the conduct of business.

It is not allowed to produce, distribute or sell business aids and audio-visual materials on its own, and may only use the text, audio and video materials designated by SangHyuk to carry out business activities.

You should use the company's uniformly printed business cards; if you print your own, you should comply with the company's regulations on content and style.

Without the company's approval and consent, shall not display or promote, sell ShanghART products in public places. 


[ Respect for customers and fair trade]

Clearly marked prices, fair trade, no unauthorized surcharges.

Respect customers' choices and do not force them to buy, sell to strangers or call on them at the door.

Do not criticize or denigrate other agents or attack or belittle other companies, other brands of products or other workers or industries. 


[ Neatness of appearance and uniformity of movement]

Where Sheung Hee agents, must be clean instrument, dress with professional style, business activities must be kept in sync with the company's release of information, the caliber of the company to maintain consistency with the company's guidelines for action and the company's philosophy coincide with. 


[ Protecting Trademarks and Maintaining Brands]

No one may use the name SUN HOPE as the name of any other organization or business, or authorize others to use such names, without the permission of SUN HOPE.

You may not use the name or trademark of Sangher in any context except with the consent of Sangher.

Do not obtain and sell products labeled with the words "SUN HOPE" to customers through companies other than SUN HOPE. 


[Regulated management, fairness and orderliness]

Preferential customers or agents in violation of this Code, or their behavior is detrimental to the reputation of the products and the corporate image of Shanghee, Shanghee reserves the right to take appropriate disciplinary action against the preferential customers or agents according to the severity of the circumstances, including warnings, suspension of work, non-renewal of the contract, or immediate cancellation of its qualifications.


[Responsibility of Shanghee Agents]

A Distributor shall not engage in any fraudulent, illegal or unethical business or recruiting practices.

Agents shall not violate in any way the policies of Shanghee and the Code of Conduct for Agents, and shall not exploit loopholes.

Shanghee agents are independent business individuals, individuals outside all behavior should be responsible for their own.

The Distributor shall, at his/her own expense, obtain, approve or deliver any licenses or reports required by law or by local governmental authorities in connection with his/her engagement in the business of ShanghART or the promotion of ShanghART products.

Distributors shall be responsible for the declaration and payment of all taxes and contributions incurred as a result of engaging in the business of Sangher.

Distributors are not allowed to sell Shanghee products at reduced prices for any reason on any occasion. 


[Repeat Become a ShanghArt Distributor]

Any one agent can not be repeated to become a ShanghArtist, if the agent and his spouse to become a ShanghArtist respectively also belongs to such a situation, after becoming a person will be withdrawn by the company's distribution rights.

Once an agent is found to "repeat to become a Shanghee agent" situation occurs, that is, should be reported to the Shanghee business department and provide the relevant information of the parties involved. 


[Termination of Distributorship]

Shanghé Distributors who voluntarily terminate their distribution rights may notify Shanghé in writing at any time.

Based on the date of the last purchase of goods, agents more than 1 year without purchase of goods, is considered to automatically give up the right to act as an agent, the company will cancel the qualification of its agents, if you want to continue to operate the business of Shanghee, you must reapply for membership, but before the performance of having and rank will not be restored, all zero recount.

I voluntarily terminate, relinquish or revoke my distributorship, and may not rejoin as a ShanghART agent, directly or indirectly, for at least 1 year from the date of termination. 


[contract renewal]

Shanghee distribution rights for a period of one year, if from the date of becoming a preferential customer or agent of Shanghee within one year from the date of an order (for personal use or sale) is deemed to be automatically renewed with the Shanghee, otherwise, it is deemed to give up the renewal of the qualification, that is, the loss of the right of distribution. 


[Agents are not company representatives]

Under no circumstances shall a Distributor claim to be a representative or a delegate of the employees of ShanghART. And shall not incur any debts, charges, commitments, liabilities, transactions and sign any contract in the name of or on behalf of the company. 


[Trademark and Brand Protection]

Without the permission of SUN HOPE, no one may use the name SUN HOPE as the name of any other organization or business or authorize others to use such names.

The company name, trademark, logo, service mark or other proprietary word symbols registered by Shanghee may not be used, reproduced or distributed in any context except with the consent of Shanghee.


[Restrictions on advertising]

Agents intend to engage in any advertising media activities to promote the Shanghee products or Shanghee business opportunities, must be submitted in advance to the head office of a written application, approved by the approved requirements.

Agents engaged in any external advertising activities are required to be in their own name, and has nothing to do with the Shanghee.


[Product packaging and labeling]

Distributors are not allowed to repackage product content without authorization.

Distributors are not allowed to attach other marks or change the logo on the ShanghART products. 


[disciplinary measures]

The policies contained in this policy statement and the terms and conditions set forth in this policy statement between ShanghART and the Distributor are the essential conditions of a valid agreement between ShanghART and the Distributor. In the event that a Distributor violates any of these terms or engages in any illegal, fraudulent or unethical behavior, the Company may, at its sole discretion, take one or more of the following disciplinary measures:


① Send a written warning letter or request a correction.

② Impose a fine, which shall be paid in cash or deducted from their concessions.

③ Temporary suspension of their agent status for one or more months.

④ Revoke their agent status.

⑤ Other measures contained in the Policy Statement, the Company's relevant regulations.


In the event of a revocation of an agent's license under investigation by ShanghART, the agent's discounts will be suspended for the duration of the investigation. The Company reserves the right to seek damages from any Distributor who violates the Company's rules and regulations. In the event of litigation or arbitration for recovery of discounts or claims, the prevailing party shall be entitled to seek attorney's fees and related costs from the defaulting party. 


[Business aids, written and audio-visual materials]

According to the relevant state policies and regulations, the company has all the written materials, audio-visual materials and business aids, enjoy the copyright and other rights; Shanghee agents can only use the Shanghee company designated Shanghee materials to carry out business activities, shall not produce, publish, distribute, sell or misappropriate Shanghee materials.

The following rules must be observed by a S&H Contributing Distributor when it is necessary to publish his/her personal work:


① Without the written permission of the company, no one shall infringe upon the intellectual property rights of the company, and if there is a need to quote the works of the company in publications, prior written approval and authorization should be obtained from the company.


② For agents who violate the above provisions, the company will, depending on the severity of the case, impose a warning, termination of the agreement and other sanctions, the company and reserves the right to pursue the responsibility of the infringer. Agents violating the above provisions of the relevant laws and regulations, the company will be transferred to the relevant state departments to deal with.
